1 Services Provided

Axiora Solution provides professional digital agency services including:

• Digital Marketing: Meta Ads, Google Ads, SEO, Lead Generation, Social Media Marketing
• Website Development: Business Sites, E-commerce, Landing Pages, WordPress Development
• UI/UX Design: Website Design, Mobile App Design, Wireframing, Brand Assets

Specific deliverables, timelines, and pricing are defined in individual project proposals or service agreements signed by both parties.

2 Eligibility & Account Responsibility

You must be at least 18 years of age to engage our services. By using our services, you represent that all information provided is accurate, current, and complete. You are responsible for maintaining the confidentiality of any credentials or accounts associated with our services.

3 Client Responsibilities

• Provide accurate, complete, and timely information required for project execution
• Review and approve deliverables within the agreed timeframes specified in the project scope
• Ensure all content, images, and materials provided are owned by you or properly licensed
• Make payments as per the agreed schedule to avoid project delays
• Designate a primary point of contact for all project communication
• Refrain from requesting work that violates applicable laws or third-party rights

4 Payment Terms & Refund Policy

5 Revisions & Scope Changes

Each project includes a defined number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed scope will be billed at our prevailing hourly rate. Any significant changes to project scope require a written change order and may affect both timelines and total project cost.

6 Intellectual Property Rights

• Upon receipt of full payment, the client receives full ownership of all custom deliverables created specifically for their project
• Axiora Solution retains all rights to pre-existing tools, proprietary frameworks, templates, code libraries, and methodologies
• Third-party assets (stock images, premium fonts, plugins, licensed software) remain subject to their respective licenses
• We reserve the right to showcase completed work in our portfolio and marketing materials unless explicitly prohibited in writing
• Unauthorized reproduction or redistribution of our proprietary methodologies is strictly prohibited

7 Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary, sensitive, or strategic information shared during the engagement. This obligation continues for a period of 2 years following project completion or termination. We will not disclose client business information to third parties without explicit consent, except as required by law.

8 Project Timelines & Delays

Project timelines are estimates based on information available at commencement. Delays attributable to late client feedback, delayed asset delivery, scope changes, or force majeure events may extend the timeline. Axiora Solution will communicate delays promptly and work proactively to minimize disruption.

9 Performance Disclaimer

We commit to delivering services professionally and in accordance with industry best practices. However, we do not guarantee specific outcomes such as particular search rankings, advertising ROI, follower counts, or revenue targets, as these are influenced by market conditions, platform algorithms, competition, and other factors outside our control.

10 Limitation of Liability

11 Termination of Services

• Either party may terminate a project agreement with 14 days written notice
• Monthly retainer agreements require 30 days written notice for termination
• All outstanding invoices become immediately due upon termination
• Deposits paid are non-refundable for work already commenced
• Upon receipt of final payment, we will deliver all completed work product to the client
• Axiora Solution may terminate immediately for breach of these terms or non-payment

12 Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by the laws of the United Arab Emirates. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, cyberattacks, or infrastructure failures.

14 Amendments

Axiora Solution reserves the right to modify these Terms & Conditions at any time. Updated terms will be published on our website with the revised effective date. Continued use of our services after such changes constitutes acceptance of the updated terms.
